Chaired by Non-Executive Director and comprised of senior management members including Chief Executive Officer, Chief Operating Officer, and Head of Audit, Risk and Compliance. External auditors may be invited as required.<\/p>

The committee makes recommendations to the Board on: (i) the proposals to the shareholders on the appointment and removal of external auditors; and (ii) the remuneration and terms of engagement of the external auditors. The selection process for appointing an auditor must focus on auditors having at least knowledge and understanding of insurance industry, insurance reserve valuation and insurance business operation. The committee monitors the effectiveness of, and receives regular reports from, the internal audit, risk and compliance, and legal functions. The committee reviews financial statements, procedures and systems of internal control over financial reporting. The committee reviews arrangements for compliance with the requirements stipulated by the regulators and receives reports on the audit, risk, and compliance matters of the company. The committee also reviews and guides the Enterprise Risk Management framework, mainly consisting of underwriting, credit, market, operational, legal, and other related risks to the company. The committee recommends risk philosophy and tolerance for board approval, defines the company\u2019s risk appetite and reviews risk management policies, procedures, and processes proposed by related stakeholders and departments.<\/p> <\/div>\n\n <\/div>\n\n <\/div>\n\n \n

Comprised of senior management members including the Head of Human Resource, the <\/span>committee<\/span> is responsible<\/span> on behalf of the board <\/span>of directors<\/span> to <\/span>review succession plans for directors, and the appointment and\/or replacement of <\/span>k<\/span>ey <\/span>m<\/span>anagement <\/span>p<\/span>ersonnel<\/span>, <\/span>access <\/span>process and criteria for evaluation of the performance of the <\/span>b<\/span>oard, its <\/span>b<\/span>oard <\/span>c<\/span>ommittees<\/span>, <\/span>m<\/span>anagement <\/span>c<\/span>ommittees <\/span>and directors<\/span>,<\/span> and <\/span>review of training and professional development programs for the <\/span>b<\/span>oard and its directors and appointment and re-appointment of directors.
